Agreement to Terms

By using our website or hiring us, you agree to these Terms of Service and must follow all relevant laws. If you don't agree with these terms, please don't use our website or services. These terms apply to everyone who visits our site or works with Recursive Visions LLC.

What We Do

Recursive Visions LLC provides software development services such as:

• Web application development
• Mobile application development
• User interface and experience design
• Backend systems and data management
• Cloud setup and hosting
• Ongoing maintenance and support

The specific details for your project will be outlined in a separate agreement (sometimes called a "statement of work"), which describes exactly what we'll build for you.

How Projects Work

Before we start any work, we'll give you a detailed proposal describing the project scope, what we'll deliver, the timeline, and the price. We won't begin work until we both agree to the terms in writing. This proposal, along with these Terms of Service, is our agreement.

What We Need From You

When you hire us, you agree to:

• Give us accurate and complete information about what you need
• Respond to our messages and feedback requests within a few business days
• Provide the access, content, and materials we need to complete the project
• Make payments according to the agreed schedule
• Make sure you have the rights to any content or materials you give us
• Review and approve our work within agreed timeframes

Payment

Payment terms will be explained in your project agreement. Usually, we ask for a deposit before we start, then you pay the rest as we complete different parts of the project (called milestones). Late payments may delay your project or pause our work.

Important: Payments are non-refundable unless your project agreement says otherwise. This means if you cancel the project, you won't get back money for work we've already completed.

Who Owns What

What you own: You keep all rights to the content, materials, and information you give us for your project.

What you'll own after payment: Once you've paid in full, you'll own the custom code and work we created specifically for your project (unless your project agreement says something different).

Third-party tools: Your project might include free, open-source software or other tools that have their own usage rules. We'll tell you about any of these.

What we keep: We keep the rights to our own tools, methods, and reusable code that we developed separately from your project.

Keeping Things Confidential

We will keep all the information you give us private and won't share it with other companies without your permission.

Exceptions: We may share information when:

• Required by law
• Necessary to complete your project (for example, with other developers who also agree to keep your information private)

This privacy promise continues even after our work together ends.

Our Promises and Limits

What we promise: We'll do professional, quality work that meets industry standards.

What we can't promise: Beyond our quality promise, our services and website are provided "as is." We can't guarantee specific business results, that the software will work perfectly for every possible situation, or that our website will always be available without interruption.

Limits on Our Responsibility

To the extent allowed by law, Recursive Visions LLC is not responsible for indirect damages. This includes things like:

• Lost profits or revenue
• Lost data
• Loss of business reputation
• Other indirect losses from using our website or services

Maximum amount: The most we'll pay for any claims related to a project is the total amount you paid us for that specific project. For example, if you paid us $10,000 for a project, that's the maximum we could be required to pay if something goes wrong.

Your Responsibility to Us

You agree to protect Recursive Visions LLC (including our team members) from legal problems that arise from:

• You breaking these terms
• How you use our services
• Content or materials you give us
• You violating someone else's rights

This means if someone sues us because of something you did, you'd cover our legal costs and any damages. Example: If you give us images for your website that you don't own, and the real owner sues us, you'd be responsible for those legal costs.

Ending a Project

Either you or we can end a project by following the cancellation terms in your project agreement. We may also pause or stop your access to our website if necessary (for example, if you violate these terms). If a project ends, you'll still need to pay for all work we completed before that date.

If We Have a Disagreement

If there's a dispute about these Terms or our services, we'll first try to work it out through friendly discussion.

If that doesn't work, we'll use arbitration instead of going to court. Arbitration is when a neutral third party (not a judge) hears both sides and makes a decision. The arbitration will follow the rules of the American Arbitration Association and will happen in the state where Recursive Visions LLC is located.

Important: The arbitrator's decision is final, meaning both sides must accept it.

Which Laws Apply

These Terms of Service follow the laws of the United States and the state where Recursive Visions LLC is registered. This means if there's a legal question about these terms, we'll use those laws to answer it (even if you live in a different state).

Changes to These Terms

We may update these Terms of Service from time to time. When we do, we'll post the new version here and update the date at the top.

What this means: If you continue using our website or services after we update the terms, it means you agree to the new version. For major changes, we'll also email you if we have your contact information.

If Part of These Terms Doesn't Work

If a court decides that part of these Terms can't be enforced or isn't valid, only that specific part will be removed or changed. The rest of the Terms will still apply.
